Dividend Policy and Distribution Overview
Dividend Policy:
In the annual financial statements, if the Company has retained earnings, it should first pay taxes and offset accumulated losses. Next, 10% should be allocated to the statutory surplus reserve. However, when the statutory surplus reserve has accumulated to the Company's paid-in capital, this requirement no longer applies. Additionally, according to legal regulations, special surplus reserves may be allocated or reversed. If there are remaining earnings along with accumulated undistributed earnings, the Board of Directors will propose a dividend distribution resolution, which may be carried out through the issuance of new shares. This proposal should be submitted for approval at a shareholders' meeting.
The Company authorizes the Board of Directors, with attendance of more than two-thirds of the directors and a majority of attending directors, to distribute dividends or statutory surplus reserves and capital surplus reserves, in whole or in part, through cash payments, and to report to the shareholders' meeting.
Due to the rapid changes in the Company's industry outlook and development trends, the dividend policy is subject to the earnings situation of the current year, considering the overall environment, relevant legal regulations, the Company's long-term development plans, and a sound financial structure. The Company adopts a balanced dividend policy, and if cash dividends are distributed, they should account for at least 10% of the total annual dividends.
